Purpose and context

With an 80 year history, spanning two centuries, The Breen Construction Company Ltd provides exceptionally high levels of construction expertise across Otago. The Company operates in a broad range of sectors including civil, commercial, retail, architectural homes, property maintenance and development. Breenhomes, a further division of Breen Construction, has been building residential homes in Southland and Otago since 1939. The Company has an enduring commitment to its staff and the communities in which it operates. Predominantly family owned, the business employs 200 people and turns over $60m.

Breen successfully appointed an independent chair three years ago and is enjoying a more structured board environment. To ensure thinking around the board table continues to be fresh and diverse the Company is now looking to appoint a second independent director. Current areas of focus for the board includes regional expansion, establishing a development arm, maintaining a strong company culture and sustainability in the construction sector.

This role will appeal to a director with similar values to Breen (continuity, contribution, integrity, family and safety & wellbeing) and who aligns with the Company’s core purpose: “it’s about people”. Person Specification

The background we are seeking in the new appointee is:

• Ability to lead people and culture conversations in the context of a scaling business
• Experience in aligning values to brand and then marketing that story
• Affinity with family or privately owned businesses
• Governance experience from either current directorships or active participation as an executive in board meetings of a substantive entity

Please note we are not looking for someone with a construction sector background.

• Pragmatic in nature
• Fun outside the boardroom

The role is open to individuals living in the lower half of the South Island, ideally Otago or Southland.

Time commitment and term

As a guide, we expect an average time commitment of 1.5 days each month. Board meetings are held eleven times per year, with half being in person and half online. Other contribution may include attendance at dividend meetings, shareholder AGMs, H&S review meetings, strategy days and ad hoc regional office visits. The company uses BoardPro software. We anticipate the role starting 1 April 2022 for an initial term of three years.

Remuneration

The fee for the independent director will be $40,000pa to $45,000pa + travel expenses (if required).
D&O insurance is in place.
